Master Service Agreement

Terms of architectural engagement and software orchestration.

1. Enterprise Engagement

By initializing a contract with Radixmatrix, you agree to these Master Service Terms. Radixmatrix provides bespoke software engineering, AI orchestration, and infrastructural consulting. These terms govern the deployment and maintenance of all Radixmatrix-engineered systems.

2. Intellectual Property & AI Models

Upon final payment and system handover, all custom code, deployed architectures, and specific fine-tuned AI model weights generated explicitly for the Client become the exclusive intellectual property of the Client. Radixmatrix retains rights only to our pre-existing proprietary deployment frameworks and underlying boilerplate tools.

3. Service Level Agreements (SLAs)

For clients on active maintenance contracts, Radixmatrix guarantees a 99.99% uptime for core infrastructural systems. Ephemeral API dependencies (such as third-party LLM providers) are excluded from this SLA. In the event of a critical system failure not caused by third-party outages, our engineering response time is guaranteed within 15 minutes.

4. Liability Limitations

Radixmatrix engineers deterministic, highly reliable systems. However, due to the probabilistic nature of advanced Artificial Intelligence, Radixmatrix cannot be held liable for specific business logic errors, hallucinatory outputs, or downstream financial losses resulting from autonomous agent actions. Clients are responsible for implementing human-in-the-loop (HITL) safeguards where required by law.

5. Termination Protocol

Either party may terminate active retainers with 30 days written notice. Upon termination, Radixmatrix will facilitate a full data handover and execute a secure wipe of all localized development environments.
